End-User License Agreement for METT/SETT CD-Rom (the “SOFTWARE”) From Paul Ekman Group
The following is a legal agreement between you and Paul Ekman Group. Carefully read all the terms and conditions of this Agreement prior to using the SOFTWARE. By clicking the I agree button this indicates your acceptance of these terms and conditions. If you do not agree to these terms and conditions, please return the SOFTWARE Paul Ekman Group for a full refund).
1.Copyright: You acknowledge that you are receiving only a limited license to use the SOFTWARE and related documentation, and that you shall obtain no title, ownership, intellectual property, nor any other rights in or to the SOFTWARE and related documentation, all and any portion of which title, intellectual property, and rights shall remain with Paul Ekman Group
2.License and Restrictions: You have the non-exclusive right to use the SOFTWARE on a single standalone computer. You may not (a) copy the SOFTWARE, (b) use and/or transfer the SOFTWARE to any third party apart from the Product, (c) modify the SOFTWARE, (d) attempt to reverse engineer, decompile or disassemble adapy, translate, or create derivative works based upon the software or any part thereof. or (e) export the SOFTWARE in contravention of any applicable U.S. or foreign export law or regulation. (f) You are expressly prohibited from sublicensing, selling, transferring, renting or leasing or otherwise distributing copies of the software or rights to use the software, and this will include using the software in any kind of training environment without the express knowledge and agreement of the Paul Ekman Group. You may not use the software for any use prohibited by law. This Agreement does not automatically grant You any right to any enhancements or updates to the software.
3.Term: This license is effective until terminated. You may terminate this Agreement at any time by destroying the SOFTWARE and related documentation and all copies thereof. This license will also terminate if you fail to comply with any term or condition of this Agreement. Upon such termination, you agree to destroy or return the CD-rom to Paul Ekman Group, the SOFTWARE and related documentation and all copies thereof.
4.Limitation of Liability: The SOFTWARE is provided “as is” without any warranty. Except as expressly provided herein, neither Paul Ekman Group or Paul Ekman Group licensor makes or passes on to you or other third party any warranty or representation, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. Without limiting the generality of the foregoing, neither Paul Ekman Group nor Paul Ekman Group’s licensor warrants that the SOFTWARE will be error-free or that it will meet your requirements. Neither Paul Ekman Group nor Paul Ekman Group’s licensor shall be liable for any damage suffered by you, including, but not limited to, consequential, incidental, indirect, special, exemplary or punitive damages. The above limitations shall apply regardless of the form of action, whether in contract, tort (including negligence), strict product liability or otherwise, even if Paul Ekman Group nor Paul Ekman Group’s licensor has been advised of the possibility of such damages.
5.General Provisions: This End User License Agreement “EULA”is the exclusive agreement between You and Paul Ekman Group concerning the Software and supersedes any and all prior or contemporaneous oral or written agreements, representations, negotiations or other dealings between You and Paul Ekman Group. This EULA will be governed by the laws of the State of California applicable to contracts executed and performed entirely in California by residents of that state. If any part of this EULA is found to be void, unenforceable or invalid, it shall not affect the other provisions of this EULA. This EULA can only be modified by a paper writing signed by both parties. Failure by either party to enforce any provision of this EULA will not be deemed a waiver of future enforcement of that or any other provision.
